OBJECTIVES

  • Leadership (the different roles of chairman and CEO) and the responsibilities of executives and NEDs
  • Tone at the top and creating an ethical business culture
  • How to create an effective and talented board
  • Review of the responsibilities of the key board committees, in particular the role of the Audit Committee
  • The risk governance dimension – managing the principal risks of an organisation and putting in place effective risk management and internal control systems
  • The key board improvement drivers: board evaluation; diversity; training and development
