Communicating Effectively with Colleagues and Clients

Your ability to communicate effectively with colleagues and clients will be one of the key determinants of your success throughout your career, especially in the role of manager. Participants will learn how to better develop communication skills at work and build lasting relationships with colleagues and clients as well as understand and develop your assertiveness. Company Analysis and Valuation

This Company Analysis and Valuation course will introduce basic approaches to analysing a business from a financial perspective using a range of key performance indicators, such as, profitability, return on capital, leverage, working capital management, asset utilisation and cash flow generation. The learning will be supported by examples using a real company. Areas of focus include understanding revenue concepts and drivers, costs of sales versus support costs and operating versus financing costs and ways to control these, including hedging. All this will be analysed in the context of the competitive pressures on a business and management’s business strategy in response to these pressures.

The second half of the day is spent linking the analysis to company valuation and explaining the key drivers of the value of a business. As is the case with business analysis there are various reasons why a company might have to be valued, including for merger and acquisition (M&A) transactions or to assess if a share is trading at a fair price on the stock exchange. As a consequence, multiple valuation techniques have evolved and the course will introduce the key valuation concepts including enterprise value versus equity value, trading and transaction multiples and discounted cash flow valuation. This will include the time value of money concept, valuing a controlling or a minority stake in a business and highlighting the key challenges of valuing a company. Again, the analysis will be supported by using a real company.

Company Secretary’s Role Part 1 – Essential Tasks

The Company Secretary shares responsibility with the Directors for ensuring compliance with many aspects of company law. This Company Secretary’s Role Part 1 – Essential Tasks training course focuses on those responsibilities so that you can keep yourself legal and no longer need to worry that you might be missing something. The course will:

  • enable you to recognise your responsibilities as the Company Secretary and when something needs to be done;
  • give you sufficient knowledge and materials to decide what needs to be done (e.g. what needs to be filed or recorded); and where appropriate, do it yourself

Company Secretary’s Role Part 2 – Developing Responsibilities

The Company Secretary shares responsibility with the Directors for ensuring compliance with various aspects of company law. The Company Secretary’s Role – Developing Responsibilities course continues to focus on those responsibilities, together with other functions that directors expect the Secretary to perform, including advising them on their own responsibilities. The overriding objective of the course is to help keep companies and directors legal. The course sets out to achieve this by:

Construction Industry Scheme and VAT issues for Contractors

Businesses operating within the Construction Industry Scheme (CIS) must do so correctly to avoid pitfalls and penalties. VAT in the construction industry can be complex as it involves different VAT liabilities (0%, 5% and 20%) depending on the type of work undertaken.

This training course explains the CIS and VAT issues for Contractors. The course will be presented by two trainers, a CIS specialist and a VAT specialist.

Construction Industry Tax Explained

This Construction Industry Tax Explained course will provide a very practical insight into how the Construction Industry Scheme currently works in practice, and will explain the tax responsibilities and functions of both the contractor and subcontractor. Additionally, the area of employed or self-employed, and IR35 will be addressed.

Practical case studies will be given and reviewed, regarding the completion of monthly CIS returns, verification and the production of CIS tax deduction statements.

Construction Industry Tax Refresher and Update

This Construction Industry Tax Refresher and Update practical course will act as a detailed CIS tax refresher for delegates seeking to update their basic tax knowledge on the Construction Industry Tax Scheme.

It will give a detailed update on the current CIS tax workings, administration requirements and tax planning for contractors, subcontractors and their advisers.

Corporate Finance Strategies

Finance Directors and CFOs have various options to fund their business using a variety of debt and equity funding routes. This course will explain how companies are financed and how the financing mix between debt and equity impacts a company’s profitability, cost of capital, and return generated for investors, as well as the risk associated with the various funding routes. The analysis will cover the different financing requirements in the various stages of a company’s lifecycle, as well as for different financing needs (long-term versus short-term financing) and discuss which types of funding will likely be available to a company in any of these phases. The course will also introduce key corporate finance theories applied to determine the optimal capital structure and funding mix. Key funding products will be discussed, including commercial paper, corporate bonds, term loans, revolving credit facilities, preference shares and common equity.  Finally, the course will outline key conflicts of interest between different investor groups and ways to minimise and manage these. The learning will be supported by examples using a real company.

Corporate Funding and Risk Management

This intensive one-day course will demonstrate how and why good treasury practices can be cost-effective and can improve corporate treasury efficiency.

Specifically, we will look at debt finance, both bank and bonds, and concentrate on the management of interest rate risk, the products and hedging methodology.

Derivatives are risk management tools. We will look at the various derivative instruments and how they are used to hedge interest rate risk.

Corporate Governance Essentials – A Practical Guide to Improve Performance
